He drafted Securities and Exchange Commission correspondence and memoranda, numerous 1934 Act filings, 1933 Act filings, and various other related forms. Within the realm of corporate law, Tabber Benedict gained priceless exposure to securities, capital markets, and general corporate practices, enabling him to witness the full range of transactional services. Tabber Benedict also trained and managed junior associates, paralegals and internal specialty teams, local counsel and outside counsel. He performed due diligence, providing reports for clients that detailed company strengths, potential legal pitfalls, structural analysis and advice, valuations, potential liabilities, and shareholder analyses. In the area of mergers and acquisitions, Tabber Benedict drafted purchase agreements, merger agreements, asset purchase agreements, joint venture agreement, a host of ancillary agreements, as well as proxy statements, and all manner of M&A legal documents and memoranda. Benedict with a wealth of experience across industries. Benedict worked in-house at an international insurance company (ACE Limited and as an attorney for three New York City law firms: Hughes, Hubbard, & Reed LLP Schulte, Roth & Zabel LLP and White & Case LLP.
